Terms of Service

Welcome to the Ecohodo platform, provided by Ecohodo Technologies Pvt Ltd (“Ecohodo,” “we,” “us,” or “our”). These terms of service (“Terms”) govern your relationship with us and set forth the conditions under which you may access and use the Ecohodo Carbon Credits Marketplace, Consulting Services, and SaaS products (GHGsync and TrueMRV), collectively referred to as the “Services”. By accessing or using any of our Services, you agree to these Terms, which form a legally binding agreement between you and Ecohodo. If you do not agree with these Terms, you should discontinue using our Services.

1. Your Relationship With Us

1.1 Acceptance of Terms

By using our Services, you confirm that you can form a legally binding contract with Ecohodo, and that you accept these Terms and agree to comply with them. If you are accessing the Services on behalf of an entity (e.g., your employer), you warrant that you have the authority to bind that entity to these Terms, and “you” and “your” will refer to both you and that entity.

1.2 Additional Terms

Your use of our Services may also be subject to additional terms or policies, including our Privacy Policy, which governs how we handle your personal data. By using our Services, you also consent to the terms of our Privacy Policy.

1.3 Platform Compatibility

Using Ecohodo’s Services requires compatible hardware, software, and Internet access. We do not guarantee that our Services will be accessible on all devices or at all times.

2. Changes to Terms of Service

We may update or modify these Terms at any time for operational, legal, or regulatory reasons. If we make significant changes, we will notify you by updating the 'Last Updated' date at the top of these Terms and through other reasonable means (e.g., on the Ecohodo Website or through email).
Your continued use of the Services after changes have been made constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.

3. Services Provided

3.1 Carbon Credits Marketplace

Ecohodo provides a marketplace for buying and selling carbon credits, enabling users to offset their carbon footprints. Users can participate in the Carbon Offset Program by purchasing and retiring verified carbon credits from selected climate protection projects. 3.2 Consulting Services

We offer consulting services to businesses, helping them reduce their carbon emissions and comply with regulatory standards. Our consulting services involve data collection, analysis, and strategic advice tailored to your business needs.

3.3 SaaS Products (GHGsync and TrueMRV)

Ecohodo is developing two software-as-a-service (SaaS) products:

GHGsync: A greenhouse gas tracking platform that enables businesses to monitor and report emissions.
TrueMRV: A measurement, reporting, and verification (MRV) tool for businesses to ensure compliance with carbon reduction programs.

4. User Accounts

4.1 Registration

To access some of our Services, you may be required to create an account. By registering, you agree to provide accurate, complete, and current information. You are responsible for keeping your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You are also responsible for all activities that occur under your account. If you suspect any unauthorized use of your account, notify us immediately at contact@ecohodo.ai.

4.3 Account Termination

You may delete your account at any time by contacting contact@ecohodo.ai. Ecohodo reserves the right to suspend or terminate your account if you breach any of these Terms or engage in activities that harm the Services or other users.

5. Payment and Billing

5.1 Pricing

Our pricing for marketplace services, consulting services, and SaaS products varies depending on the services selected. All prices are displayed before purchase, exclusive of applicable taxes, which will be calculated at checkout.

5.2 Billing Periods

For subscription-based services like GHGsync and TrueMRV, billing occurs at the beginning of each billing period (monthly or annually). If no other billing period is specified, the default billing cycle shall be monthly.

5.3 Payment Methods

We use third-party payment processors like Razorpay to facilitate payments. You agree to provide valid payment information and authorize Ecohodo to charge the specified payment method for all fees associated with your account.

5.4 Default and Non-Payment

If your payment is declined, we reserve the right to suspend or terminate your access to the Services until payment is received. We may also charge you the fees for any costs incurred by us as a result of non-payment or decline by the payment gateway.

6. User Responsibilities

6.1 Prohibited Conduct

You agree not to:

Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
Share, transfer, or sublicense your account access to others without our written consent.
Introduce any viruses, malware, or harmful software into the Ecohodo platform.
Engage in any activities that disrupt or impair the performance of the Services.

6.2 User-Generated Content

When using certain features of the Services (e.g., participating in forums or uploading data), you are solely responsible for the content you submit. You agree not to post content that is unlawful, offensive, or infringes on the intellectual property rights of others.

7. Intellectual Property

7.1 Ownership

All intellectual property rights, including copyrights, trademarks, and trade secrets related to the Ecohodo Services, belong to Ecohodo or its licensors. You may use the Services only for their intended purpose and in accordance with these Terms.

7.2 License to Use the Services

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal or business purposes, subject to these Terms.

7.3 Restrictions

You may not:

Copy, modify, or distribute any part of the Services.
Reverse-engineer or attempt to extract the source code of any software used in the Services.
Use Ecohodo’s trademarks or branding without prior written consent.

8. Limitation of Liability

To the fullest extent permitted by law, Ecohodo disclaims all warranties, express or implied, regarding the Services, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Services will be uninterrupted, secure, or error-free. Your use of the Services is at your sole risk.
In no event shall Ecohodo, its affiliates, officers, directors, or employees be liable for any indirect, incidental, punitive, or consequential damages arising out of your use or inability to use the Services (including the marketplace and products).

9. Indemnification

You agree to indemnify and hold harmless Ecohodo and its affiliates from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your breach of these Terms or your improper use of the Services.

10. Termination and Suspension

Ecohodo reserves the right to suspend or terminate your access to the Services at any time for any reason, including if you breach these Terms.
You may also terminate your use of the Services at any time by deleting your account or discontinuing use of the Services.

11. Governing Law and Dispute Resolution

These Terms and your use of the Services are governed by the laws of India, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts at Delhi, India.

12. Changes to Ownership or Corporate Structure

In the event of a change in ownership, merger, or acquisition of Ecohodo or its assets, your personal data and contracts with us may be transferred to the new entity. We will notify you of any such changes in accordance with applicable law.

13. Notices

All notices to Ecohodo should be sent via email to contact@ecohodo.ai. Ecohodo may send notices to you via your email registered with us or by posting on the Ecohodo Website or platform.

14. Entire Agreement

These Terms, along with privacy policy and terms and conditions of Ecohodo Carbon Credits Marketplace, constitute the entire agreement between you and Ecohodo regarding your use of the Services, superseding any prior agreements or understandings. If any provision of these Terms is found invalid for any reason, the remaining provisions shall remain in full force and effect.
